The Public Benefit Private Company
A new corporate structure for Australia — private in form, public in obligation
Australian corporate law offers founders a binary choice — proprietary form that permits private profit extraction, or not-for-profit form that constrains pace and capital. No existing structure combines private operational form with a binding statutory public-benefit obligation. This paper proposes the Commonwealth legislate the Public Benefit Private Company (PBP).
Australia forces founders into a false binary: extractive proprietary companies on one side, and not-for-profits whose governance and capital settings slow competitive work on the other. The Public Benefit Private Company closes that gap — private operational form with mandatory statutory locks that make private profit extraction structurally impossible.
